Welcome to Nexaweb. These Terms & Conditions govern your access to and use of the website, products, and professional services offered by Nexaweb. By engaging our services, making payment, or using our website, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

If you do not agree with these Terms, you should discontinue use of our services.

1. Scope of Services

Nexaweb provides professional digital solutions including, but not limited to:

  • Website Design
  • Website Development
  • Web Application Development
  • E-commerce Development
  • UI / UX Design Services
  • Website Maintenance & Support
  • Domain Registration Assistance
  • Hosting Setup & Configuration
  • SEO Setup & Optimization
  • API Integration Services
  • Custom Software / Portal Development
  • Branding & Digital Consultancy
  • Other related digital and technology services

Project-specific deliverables, timelines, features, revisions, and scope shall be clearly defined in the proposal, quotation, agreement, or statement of work shared with the client.

2. Project Acceptance

A project shall be deemed officially accepted once any of the following occurs:

  • Written approval is received from the client
  • An advance payment is made
  • A formal project agreement is executed
  • Development work is initiated upon client confirmation

Upon acceptance, Nexaweb allocates operational time, development resources, and project capacity accordingly.

3. Pricing & Payment Terms

3.1 Payment Structure

Payments shall be made as agreed in writing and may include:

  • Advance payment
  • Milestone-based payment
  • Full upfront payment
  • Monthly / annual retainer payment

3.2 Payment Delays

Delayed or incomplete payments may result in:

  • Temporary suspension of work
  • Delay in project delivery timelines
  • Suspension of website deployment
  • Suspension of support or maintenance services
  • Restricted access to project deliverables
  • Service termination where applicable

3.3 Third-Party Costs

The following are billed separately unless explicitly included in writing:

  • Domain registration fees
  • Hosting/server charges
  • Premium themes, plugins, and licenses
  • Stock assets, images, and videos
  • Paid APIs and integrations
  • SMS / email gateway fees
  • Payment gateway setup fees
  • Cloud subscriptions and external SaaS tools

These purchases are final and non-refundable once procured.

3.4 Late Payment & Penalty Charges

Invoices raised upon milestone completion, project completion, or final approval must be settled within the agreed payment period. If payment remains unpaid for more than seven calendar days from the date of invoice issuance or final project approval, whichever is earlier, Nexaweb reserves the right to levy late payment penalty charges.

This may include:

  • Fixed late payment administrative charges
  • Percentage-based penalty on outstanding dues
  • Recovery of legal or administrative collection costs
  • Temporary suspension of deployment, maintenance, credentials, or access
  • Permanent suspension of services in cases of prolonged non-payment

Penalty charges shall be determined solely at Nexaweb’s discretion based on outstanding amount, delay duration, and recovery effort involved.

4. Client Responsibilities

The client agrees to:

  • Provide required content, branding materials, and credentials promptly
  • Give approvals and feedback within agreed timelines
  • Ensure legal ownership of submitted content
  • Maintain professional communication
  • Review submitted work in a timely manner
  • Make payments according to agreed commercial terms

Project delays arising from incomplete information, delayed approvals, lack of communication, or delayed payments by the client shall automatically extend delivery timelines. Nexaweb shall not be liable for such delays.

5. Revisions & Change Requests

Project pricing includes only the scope explicitly agreed at project commencement.

Requests outside approved scope may be treated as:

  • Additional feature requests
  • Scope expansion
  • Functional modification
  • Redesign requests
  • New development work

Such requests may involve additional charges, revised project timeline, and separate approval or quotation. Unlimited revisions are not included unless explicitly agreed in writing.

6. Intellectual Property

Until full payment is received, source code, designs, UI assets, backend systems, concepts, graphics, documentation, and deliverables remain the intellectual property of Nexaweb.

Upon receipt of full payment, ownership of the agreed deliverables transfers to the client, excluding:

  • Licensed third-party tools
  • Paid plugins or themes governed by external licenses
  • Proprietary Nexaweb frameworks, reusable systems, internal utilities, or modules unless separately licensed

Nexaweb reserves the right to showcase completed work in its portfolio unless otherwise agreed in writing.

7. Hosting, Security & Third-Party Services

Nexaweb may assist in setup, but shall not be responsible for failures caused by:

  • Hosting outages
  • Server downtime
  • DNS failures
  • Plugin conflicts
  • API failures
  • Payment gateway outages
  • Cyberattacks
  • Malware
  • Third-party security breaches
  • Email deliverability issues
  • Vendor-side service interruptions

Clients remain responsible for timely renewal of hosting, domains, licenses, and subscriptions unless managed by Nexaweb under contract.

8. Maintenance & Support

Maintenance and support services apply only where covered under a maintenance agreement or service contract.

Support may include:

  • Bug fixes
  • Security updates
  • Backup assistance
  • Content edits
  • Minor UI changes
  • Performance optimization

Support does not include major redesigns, new modules, large-scale development changes, or rebuilding damaged third-party environments. Such work shall be separately quoted.

9. Confidentiality

Nexaweb respects client confidentiality and shall take reasonable care in handling project information.

However, Nexaweb may disclose information where:

  • Required by law
  • Necessary for payment processing
  • Necessary for technical execution through trusted service providers
  • Required for hosting, cloud, infrastructure, or compliance purposes

Clients also agree not to disclose confidential pricing, source materials, proposals, or proprietary technical implementation details of Nexaweb.

10. Limitation of Liability

Nexaweb shall not be liable for:

  • Indirect losses
  • Loss of business opportunity
  • Loss of revenue or profit
  • Data loss
  • Service interruptions
  • SEO ranking fluctuations
  • Regulatory issues outside contracted scope
  • Third-party software or platform failures
  • Any consequential damages of any nature

Maximum liability, if any, shall not exceed the amount paid by the client for the relevant contracted service.

11. Suspension / Termination of Services

Nexaweb reserves the right to suspend or terminate services immediately in cases of:

  • Non-payment
  • Repeated payment default
  • Abuse, harassment, or misconduct
  • Breach of agreement
  • Illegal use of delivered systems
  • Misrepresentation by the client
  • Repeated communication breakdown

Termination shall not create any refund obligation. Outstanding dues, penalties, and costs remain payable.

12. Amendments

Nexaweb reserves the right to modify these Terms at any time without prior notice. Updated Terms become effective immediately upon publication on Nexaweb Official Website. Continued use of services constitutes acceptance of revised Terms.

13. Governing Law & Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of India. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of courts located in Karnataka, India.
